Terms of Use
These Terms of Use govern your access to and use of Repot. Please read them carefully before using the Service.
1. Interpretation & Definitions
Interpretation
Words with an initial capital letter have the meanings defined below. These definitions apply whether the terms appear in singular or plural form.
Definitions
For the purposes of these Terms of Use:
- Account means the unique account you create to access the Service.
- AI Features means the artificial-intelligence-powered capabilities of the Service, including plant identification, health assessments, care plan generation, and contextual recommendations.
- Company (referred to as "we", "us", or "our") means Morgan Technology Holdings, LLC, a limited liability company organized under the laws of New Mexico, USA.
- Content means any text, images, photos, notes, or other material you upload, submit, or create through the Service.
- Credits means the units of value used to access AI Features within the Service. Credits may be granted free of charge or purchased.
- Device means any device that can access the Service, such as a smartphone, tablet, or computer.
- Household means the shared group within the Service that allows multiple Users to manage plants and tasks collaboratively.
- Service means the Repot web application, accessible at https://app.repot.garden, including all features, content, and functionality.
- Terms (also referred to as "Terms of Use") means these Terms of Use, which form the entire agreement between you and the Company regarding the use of the Service.
- Third-Party Services means services, content, or products provided by third parties that are integrated with or linked from the Service.
- You (also referred to as "your") means the individual accessing or using the Service.
2. Acknowledgment
These Terms govern your use of the Service. By accessing or using Repot, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
You represent that you are at least 16 years of age. The Company does not permit anyone under 16 to use the Service.
Your access to and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy, which describes how we collect, use, and protect your personal information.
3. Beta Program
During the Beta period:
- The Service is provided free of charge with a limited number of complimentary Credits.
- We may modify, suspend, or discontinue any part of the Service at any time without liability.
- We make no guarantees regarding uptime, data integrity, or feature availability.
- Your feedback is invaluable and helps shape the product. We may reach out to you for input.
When the Beta period ends, your Account and data will carry over into the general release of the Service. You will not lose your plants, care history, or household setup. Credit balances at the time of transition will be honored.
4. User Accounts
Registration
To use the Service, you must create an Account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
You agree to:
- Provide accurate and complete information during registration.
- Keep your password secure and not share it with others.
- Notify us promptly if you suspect any unauthorized use of your Account.
Account Deletion
You may delete your Account at any time through the Settings ("Me") page. When you delete your Account:
- If you are the sole owner of a Household, all Household data (plants, tasks, health checks, storage files, and remaining Credits — including purchased Credits) will be permanently deleted and forfeited.
- If you are an owner with other members, ownership will be automatically transferred to the longest-tenured member. Household data and Credits remain with the Household and are available to the remaining members.
- If you are a member (not owner), your membership is removed. Household data remains for other members.
- Your personal profile data and authentication record will be permanently deleted in all cases.
Account deletion is irreversible. We recommend exporting your data before deleting your Account.
5. Households
Repot is designed for collaborative use. When you create an Account, a personal Household is automatically created for you.
- Household owners can invite others via shareable invite links, remove members, and manage Household settings.
- Household members can view and manage shared plants and tasks but cannot modify Household settings or manage other members.
- Invite links are reusable and expire after 30 days. The owner can revoke and regenerate invite links at any time.
- When you accept an invite to join another Household, your previous solo Household may be removed.
- Credits belong to the Household, not to individual members. All members share the same Credit balance. See Section 6 for full details on Credits, purchases, and forfeiture.
You are responsible for the actions of anyone you invite to your Household.
6. Credits & Purchases
Credits
AI Features (plant identification and health assessments) require Credits. Each AI operation consumes one (1) Credit.
- Credits are granted at the Household level, not the individual level. All members of a Household share the same Credit balance.
- New Households receive a complimentary allotment of Credits upon creation.
- Credits have no cash value and cannot be exchanged, transferred to another Household, or redeemed for money.
Credits do not expire. Your Credit balance remains available as long as your Household exists.
Purchasing Credits
You may purchase Credit bundles through the Service. Purchases are processed by Stripe, Inc., a third-party payment processor. By making a purchase, you also agree to Stripe's terms of service.
- Fulfillment: Credits are delivered to your Household immediately upon payment confirmation.
- Refund policy: Purchased Credits are non-refundable as a general rule. We may, at our sole discretion, issue refunds on a case-by-case basis for exceptional circumstances. To request a refund, email support@repot.garden with your purchase details. We will respond within 14 days. Refund eligibility may be limited to unused Credits. See also Section 18 for EU consumer withdrawal rights.
- Credit forfeiture on deletion: If the Household owner deletes the Household (sole owner scenario), all remaining Credits — including purchased Credits — are forfeited.
- Ownership transfer: If a Household owner deletes their Account but other members remain, the Credit balance stays with the Household and is available to the remaining members.
- Currency: Prices are displayed in your selected currency. You can change your currency preference at any time in the app.
Future Subscription Plans
We may introduce subscription-based plans in the future, which would offer recurring Credit allotments or unlimited access to AI Features. If subscription plans are introduced:
- Billing terms, renewal, and cancellation policies will be clearly communicated before you subscribe.
- You will not be automatically enrolled in any subscription plan.
- These Terms will be updated to reflect subscription-specific conditions.
7. Your Content
Ownership
You retain all rights to the Content you upload to the Service. We do not claim ownership of your plant photos, notes, or any other content you create.
Service License
By uploading Content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Content for the purpose of operating and providing the Service. This includes:
- Sending your plant photos to AI service providers (Plant.id and OpenAI) for identification and health analysis.
- Storing your Content on our infrastructure (Supabase storage).
- Displaying your Content to members of your Household.
- Featuring your plant photos within the Service to other users (e.g., community highlights or inspiration content on the Today screen).
This license terminates when you delete the relevant Content or your Account.
Promotional License (Opt-In)
With your explicit consent, you may grant the Company an additional license to use your plant photos and associated plant names in promotional and marketing materials, including but not limited to the Repot website, social media, app store listings, and press materials. This promotional license is:
- Opt-in only — we will never use your Content for marketing without your prior, explicit permission.
- Anonymized — promotional use will not include your personal name, email, or any identifying information. Only the plant photo and, optionally, the plant's display name (e.g., "Monstera deliciosa") may be shown.
- Revocable — you may withdraw your consent at any time by contacting us. We will remove your Content from future marketing materials within a reasonable timeframe, though we cannot recall materials already distributed.
Your Responsibilities
You are solely responsible for the Content you upload. You agree not to upload Content that:
- Infringes the intellectual property or privacy rights of others.
- Contains malicious code or is designed to disrupt the Service.
- Is unlawful, defamatory, or harmful.
8. AI-Powered Features
The AI Features of the Service rely on third-party AI models (see Section 9). You acknowledge that:
- AI outputs are not guaranteed to be accurate. Plant identifications, health assessments, and care recommendations are best-effort suggestions generated by machine learning models. They may be incorrect, incomplete, or inappropriate for your specific situation.
- You should not rely solely on AI recommendations for decisions that could result in harm to valuable plants, property, or people. When in doubt, consult a qualified professional.
- AI models evolve. The underlying AI services may be updated by their providers, which could affect the quality or nature of outputs over time.
- Your photos are processed by third parties. When you use an AI Feature, your plant photo and relevant context (such as your general location for seasonality) are sent to third-party AI providers. See our Privacy Policy for details.
9. Third-Party Services
The Service integrates with the following Third-Party Services to deliver its functionality:

Each Third-Party Service is governed by its own terms and privacy policies. We are not responsible for the practices of these third parties. By using features that rely on Third-Party Services, you acknowledge and accept their terms.
The optional integrations (Google Calendar and Telegram) require your explicit action to enable and can be disconnected at any time through the Service's settings.
10. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or these Terms.
- Impersonate any person or entity, or misrepresent your affiliation.
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
- Use automated means (bots, scrapers, or scripts) to access the Service without our written permission.
- Circumvent or abuse the Credit system, rate limits, or any other usage controls.
- Upload malicious content, viruses, or code designed to disrupt the Service.
- Use the AI Features for any purpose unrelated to plant care (e.g., attempting to use the photo analysis for non-botanical purposes).
- Reverse-engineer, decompile, or extract source code from the Service.
11. Intellectual Property
The Service — including its design, code, UI components, logos, and branding — is and remains the exclusive property of the Company. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
The "Repot" name and logo are trademarks of the Company. You may not use them without our prior written consent.
12. Feedback
If you provide feedback, suggestions, or ideas about the Service (via the in-app feedback button or otherwise), you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation or compensation to you.
You are not obligated to provide feedback. Any feedback you choose to provide is entirely voluntary.
13. Termination
By You
You may stop using the Service at any time. You may delete your Account through the Settings page, which permanently removes your data as described in Section 4.
By Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms.
- Abuse of AI Features, the Credit system, or rate limits.
- Conduct that harms other users or the integrity of the Service.
- Extended inactivity (with reasonable prior notice).
Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before termination takes effect, unless the termination is due to abuse or illegal activity.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of plants, or damage to property, arising from your use of or inability to use the Service.
- The Company's total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid to the Company in the twelve (12) months preceding the claim, or fifty US dollars (USD $50), whichever is greater.
- The Company is not liable for any harm resulting from AI-generated recommendations, including but not limited to plant damage, plant death, or property damage caused by following care suggestions provided by the Service.
15. Disclaimers
General Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI Disclaimer
The AI Features are powered by third-party machine learning models. The Company does not guarantee the accuracy, reliability, or completeness of any AI-generated output. Plant identifications may be incorrect. Health assessments may miss problems or suggest inappropriate treatments. Care schedules are general guidelines, not prescriptions.
Availability
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that defects will be corrected. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law provisions.
17. Dispute Resolution
If you have a concern or dispute about the Service, you agree to first try to resolve it informally by contacting us at the email address listed in Section 21.
If a dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through the courts of the State of New Mexico, Bernalillo County, or the United States District Court for the District of New Mexico. You consent to the personal jurisdiction of these courts.
18. For European Union Users
If you reside in the European Union, you benefit from mandatory provisions of consumer protection law in your country of residence. Nothing in these Terms affects your rights as a consumer under such laws.
In particular:
- You have the right to withdraw from a purchase within 14 days of the transaction, unless you have explicitly consented to the immediate performance of the digital content and acknowledged the loss of your right of withdrawal. Credit purchases, once Credits have been used, are not eligible for withdrawal.
- The limitation of liability in Section 14 does not apply to the extent prohibited by mandatory EU consumer protection law.
- You may bring disputes before the EU Online Dispute Resolution platform or before the competent courts of your country of residence.
- Your data protection rights are described in our Privacy Policy, which complies with the General Data Protection Regulation (GDPR).
19. Severability & Waiver
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term on one occasion shall not be deemed a waiver of any other term, or of that term on any other occasion.
20. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you via email or through a prominent notice within the Service on the day the changes take effect.
By continuing to use the Service after the revised Terms take effect, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your Account.
